Step 1 : Obtain Digital Signature Certificates (DSC)

Every director and subscriber to the Memorandum of Association (MOA) must hold a Class 3 Digital Signature Certificate (DSC). The DSC is used to digitally sign all MCA21 e-forms. You can obtain a DSC from any of the certifying authorities licensed by the Controller of Certifying Authorities (CCA) : eMudhra, Sify, NSDL, and others typically charge ₹1,000–₹2,500 per DSC with a two-year validity.

The process requires an Aadhaar-based OTP or a physical verification via video call. Keep the USB token safe : losing it means going through the issuance process again.

Step 2 : Apply for Director Identification Number (DIN)

A DIN is a unique eight-digit number allotted to every individual intending to be a director of a company. Since 2018, the DIN application is bundled into the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form, so you no longer need to apply separately via DIR-3 for new incorporations.

Existing DINs from previous directorships are reusable : no need to apply afresh. Check your existing DIN status on the MCA portal before proceeding.

Step 3 : Name Reservation via RUN

The Reserve Unique Name (RUN) service on the MCA portal lets you propose up to two names. The Registrar of Companies (RoC) evaluates them against existing company names, trademarks, and prohibited words under the Companies Act, 2013. A name reservation is valid for 20 days.

Best practices for name approval: keep the name unique and descriptive, avoid generic terms like 'India,' 'National,' or 'Universal' as standalone words, ensure the name ends with 'Private Limited,' and do a quick trademark search on IP India before submitting to avoid conflicts.

Step 4 : Draft MOA and AOA

The Memorandum of Association defines the company's relationship with the outside world : its name, registered state, object clauses, and authorised share capital. The Articles of Association govern the internal management: voting rights, share transfer restrictions, board composition, and dividend policy.

For most tech and service startups, Table F of Schedule I to the Companies Act 2013 works as a standard AOA template. However, if you anticipate investor-driven rights (liquidation preference, anti-dilution, drag-along/tag-along), engage a lawyer to draft a custom AOA from the outset.

Step 5 : File SPICe+ on MCA21

SPICe+ (Form INC-32) is the single integrated form for incorporation. It bundles: company name reservation, DIN allotment, incorporation, PAN, TAN, EPFO registration, ESIC registration, Profession Tax registration (Maharashtra & Karnataka), and Opening of Bank Account. Filing SPICe+ costs ₹0 in government fees for companies with authorised capital up to ₹15 lakh : a massive subsidy introduced to encourage formalisation.

Attach the following to SPICe+: MOA (INC-33), AOA (INC-34), proof of registered office (utility bill + NOC from owner), identity and address proofs of all directors and subscribers, and consent letters (DIR-2).

  • The registered office must be in India; a residential address is permissible.
  • At least one director must be a resident of India (182+ days in the preceding calendar year).

Step 6 : Receive Certificate of Incorporation

If the RoC is satisfied with the application, the Certificate of Incorporation (CoI) is issued electronically : typically within 1–3 working days for complete applications. The CoI contains the Corporate Identity Number (CIN), date of incorporation, and confirms the company is duly incorporated. Keep certified copies of the CoI handy; banks, clients, and government departments will ask for them repeatedly.

Step 7 : Post-Incorporation Compliance

Incorporation is just the beginning. Within 30 days of incorporation, open a current bank account and deposit the subscribed share capital. Within 60 days, file INC-20A (Declaration of Commencement of Business) if your company has share capital. Failure to file INC-20A attracts a penalty and the company cannot commence business.
